Commercial IAQ Assessment Contract

1. This agreement is made on ______________(date) between _____________________(“Consultant”) of ____________________________________ (address) and ____________________________________ (“Client”) of ____________________________________________________ (address). This Agreement shall be in force from the date signed through the delivery of the final report.
2. Services to be Performed. Consultant will perform a commercial IAQ assessment which may include the following:

[_]b. visual inspection of exterior of building from the ground level
[_]c. visual inspection of flat roof when access is provided by Client
[_]d. visual inspection of HVAC system only when access is provided by Client
[_]e. measurement of temperature indoors and outdoors. Indoor locations will include: __________________
[_]f. measurement of relative humidity indoors and outdoors. Indoor locations will include: __________________
[_]g. measurement of carbon monoxide indoors and outdoors. Indoor locations will include: __________________
[_]h. measurement of carbon dioxide indoors and outdoors. Indoor locations will include: __________________
[_]i. measurement of moisture readings on any suspect areas
[_]j. sampling of surfaces via tape-lift or swabs on any suspect areas
[_]k. sampling of airborne mold when growth is suspected based on inspection
[_]l. sampling or measurement of VOCs when elavated levels are suspected based on inspection
3. Consideration. In consideration for the services to be performed by the Consultant, the Client agrees to pay the Consultant professional fees of _______________. Any samples collected will be analyzed by an accredited laboratory and charged to Client at the rate of _____ per sample. No samples will be taken during the initial inspection. Payment for testing is due prior to or right after testing is done.
4. Client’s Duties. Client agrees to provide access to all areas of the building. The Client must notify any tenants of the assessment at least one day prior.
5. Consultant’s Duties. Consultant agrees to perform the limited commercial IAQ assessment. The assessment does not include any destructive sampling. The Consultant will not move furniture to access areas for inspection.
6. General Provisions
6.1 Liability Limitation. The liability of the Consultant with respect to this Agreement shall in any event be limited to the total compensation for the services provided under this Agreement and shall not include any contingent liability.
6.2 Ownership of property. All reports, plans, specifications, computer files, field data, notes and other documents and instruments prepared by the Consultant as instruments of service shall remain the property of the Consultant. The Consultant shall retain all common law, statutory and other reserved rights, including the copyright thereto.
6.3 Entire Agreement. This Agreement constitutes the entire Agreement between the parties and may not be changed unless mutually agreed upon in writing by both parties . 6.4 Amendments to Agreement. This agreement may not be changed unless mutually agreed upon in writing by both parties.
6.5 Force Majeure. Consultant is not responsible for damages or delay in performance caused by acts of God, strikes, lockouts, accidents, or other events beyond the control of Inspector.
7. Termination of Contract. This Agreement shall terminate automatically on the occurrence of any of the following events: Completion by Consultant of the services required by this Agreement, default in the performance of the Agreement by either party; or by mutual agreement.
8. Agreement. In Witness Whereof, Consultant and Client have caused this Agreement to be signed by their respective duly authorized officers as of the day and year above written.
